1. Acceptance of Terms

By accessing or using Layo Edits ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service provides professional podcast editing, audio production, transcription, and show notes services. Use of this service is subject to the following terms and conditions.

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You will comply with all applicable laws and regulations
• All information you provide is accurate and truthful

3. Content Ownership and Rights

By uploading content for editing, you certify that:

• You own or have explicit permission to submit the uploaded audio or video content
• You have all necessary rights, licenses, and consents from all guests or participants in your recording
• You will not submit content that infringes on the rights of others
• You understand that submitted files will be accessed by Layo Edits editors for the purpose of fulfilling your order
• You retain ownership of your original and edited content

4. Prohibited Uses

You agree NOT to use the Service to:

• Submit Unauthorized Content: Upload content you do not own or have rights to
• Illegal Content: Submit content that violates any local, state, national, or international law
• Harmful Content: Submit content promoting violence, hate speech, terrorism, or exploitation
• Disinformation: Submit content intended to spread misinformation or political disinformation
• Copyright Violation: Submit content that infringes on intellectual property rights
• Fraud: Misrepresent ownership or rights to submitted content
• Abuse: Harass, threaten, or abuse Layo Edits staff or other users

5. Turnaround and Delivery

You understand and agree that:

• Standard turnaround is 24–48 hours from submission unless otherwise agreed
• Turnaround times may vary during high-demand periods or for longer episodes
• Edited files will be delivered via the method agreed upon at time of booking
• Revision requests must be submitted within 7 days of delivery

6. User Responsibilities

You are solely responsible for:

• All content you create using the Service
• Ensuring your use complies with all applicable laws
• Obtaining necessary consents and permissions
• Any harm or damages resulting from your use of the Service
• Maintaining the confidentiality of your account credentials

7. Intellectual Property

Your Content: You retain ownership of the audio you upload and the content you generate. However, you grant us a license to process, store, and use this data to provide the Service.

Our Technology: The Service, including all AI models, algorithms, software, and technology, is our proprietary intellectual property. You may not reverse engineer, copy, or redistribute our technology.

8. Data Retention and Deletion

Uploaded episode files may be stored temporarily to facilitate editing and delivery. You may request deletion of your files at any time by contacting us at privacy@layoedits.com.

Upon deletion request, we will remove your uploaded and edited files within 30 days, except where retention is required by law.

9. Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

10. Termination

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Use the Service for prohibited purposes
• Engage in fraudulent or illegal activity
• Pose a security risk to the Service or other users

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, including:

• Accuracy or quality of generated voice content
• Fitness for any particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless Layo Edits, its affiliates, and personnel from any claims, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or submission of content that infringes any third-party rights.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.

15. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or Service notification.
